By filling out the signup form you acknowledge that you have read the terms and conditions below for the EGRich Affiliate Program, understand, and agree with them.

1. Joining the Program
By filling and submitting the EGRich Affiliate Program signup form you will automatically become an AFFILIATE and are bound by the terms of this agreement. Your participation in the program is solely for the purposes of 1)providing advertising for the EGRich.com website in a legal manner, and 2) receive a commission on products purchased through your advertisement referrals.

2. Payment Schedule

1. Eligible payments - All orderes placed as a result of referral from AFFILIATE links or web sites and for which acceptable payment has been received in full are eligible for consideration to receive a commission. The commission is calculated as a percentage of the total payment amount of the order, currently 10%, not including any applied taxes. Such comission is considered conditionally earned 30 days after acceptable payment in full has been received for the order and no refunds or chargebacks have been issued on the order. Payment for conditionally earned comission will be calculated on the last day of each month, and paid within the first 7 days of the following month. The earned comission is conditional because it is subject to the following conditions:
   
   1. If payment for an order is partially or fully refunded or charged-back before comission payment to the AFFILIATE for the order has been made, the earned comission on the order will be deducted to zero (0).
   2. If payment for an order is partially or fully refunded or charged-back after comission payment to the AFFILIATE for the order has been made, the comission amount of the order will be deducted from the comission payment of a subsequent comission payment.
   3. There is no time limit for the deduction of conditionally earned commission: as long as a refund or chargeback is issued on an order, the commission for that order will be deducted according to conditions 1) or 2).
2. AFFILIATE Payments - Payment to the AFFILIATE will not be rendered for commission amounts less than $50.00 USD. The commission balance will be carried forward to be paid in a subsequent month.
3. Store Credit can be issued upon request in lieu of payment to AFFILIATE.

3. Revocation of AFFILIATE Status
Your AFFILIATE application and status in the program may be suspended or terminated for any of the following reasons:

• Inappropriate advertisements (false claims, misleading links)
• Spamming (mass email, mass newsgroup posting, etc...)
• Advertising on sites containing/promoting illegal activities

4. AFFILIATE Links
You may use graphic and text links both on your Web Site and in emails. The site may also be advertised "offline" in classified ads, magazines, and newpapers. You may only use the graphics and text provided to you by EGRich.

5. AFFILIATE Tracking
When a web user clicks through your AFFILIATE link, a cookie is set in their browser that contains your AFFILIATE ID. Also, their IP address is tracked in the database along with your AFFILIATE ID. When the web user places an order within 2 hours of the click-through, the cookie and their IP address will be used to identify your AFFILIATE ID for determination of commission. Orders placed by the web user outside of the 2 hour window will not be eligible for commission.

6. Terms of the agreement
These terms will be effective upon your signup with the AFFILIATE program and will end when your AFFILIATE account is terminated. The terms of this agreement may be modified by EGRich at any time. If any modification to the terms is unnacceptable to you, your only choice is to terminate your AFFILIATE account. Your continuing participation in the program will constitute your acceptance of any changes in the terms of this agreement.

7. Liability
EGRich will not be liable for indirect or accidental damages (loss of revenue, commissions) due to AFFILIATE tracking failures, loss of database files, and any results of "intents of harm" to the program or website. EGRich does not make any expressed or implied warranties with respect to the AFFILIATE program and/or products sold on the EGRich.com website. EGRich make no claim that the operation of the AFFILIATE program and the EGRich.com website will be error-free and EGRich will not be liable for any interruptions or errors.

The AFFILIATE further agrees and warrants that he/she will comply with all local, state and federal laws (including, but not limited to, the "CAN-SPAM" Act, effective January 1, 2004) regarding the sending of e-mails.

AFFILIATE shall indemnify and hold EGRich harmless from any and all legal actions, damages or liabilities incurred from the day-to-day operations of the AFFILIATE. Under no circumstances will EGRich be liable whether in tort, contract or otherwise for indirect, incidental, consequential, special or exemplary damages (including but not limited to damages for any loss of revenue, profits, business interruption, loss of business information or data, loss of goodwill, work stoppage, hardware or software failure, or other pecuniary loss) arising from or relating to any provision of this Agreement or the affiliate program. Without limiting the foregoing, EGRich's aggregate liability arising with respect to this Agreement will not exceed the total fees paid or payable to the AFFILIATE under this agreement.

EGRich will own all right, title and interest in and to all information that is created or collected in the operation of the EGRich.com website and reserves the right to amend or terminate this Agreement at any time, with or without notice to the AFFILIATE.
